1. Introduction & Acceptance
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", "your") and Nulook Projects Ltd, trading as SnagDoc ("we", "us", "our", "the Company"). By creating an account, accessing, or using the SnagDoc application ("the Service"), you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.
If you are entering into these Terms on behalf of a business or other legal entity, you represent that you have the authority to bind such entity to these Terms.
2. Service Description
SnagDoc is a software-as-a-service (SaaS) application providing digital tools for construction snagging and defect management. Features include but are not limited to: project management, floor plan upload and annotation, defect (snag) tracking with photos and checklists, PDF report generation, portal sharing with clients and assignees, and coworker cloud collaboration.
The Service is provided as a management and record-keeping tool only. It does not constitute and shall not be relied upon as a substitute for professional building surveys, structural engineering assessments, regulatory compliance checks, or any other professional inspection or certification.
3. Eligibility & Accounts
You must be at least 18 years of age to create an account. You must provide accurate and complete information during registration and keep your account details up to date. You are solely responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
One person or legal entity may not maintain more than one free account. We reserve the right to suspend or terminate accounts that we reasonably believe to be duplicates or in breach of these Terms.
4. Subscription, Pricing & Payments
SnagDoc offers a free tier and a paid subscription ("SnagDoc Pro") at the rates displayed within the application. All prices are in British Pounds Sterling (GBP) and include VAT at the prevailing rate for UK customers. For customers outside the UK, local tax rules may apply.
Payments are processed securely by Stripe, Inc. We do not store your card details on our servers. By subscribing, you authorise recurring payments at the applicable rate until you cancel.
Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date. You may cancel at any time from your account settings — your access to paid features will continue until the end of the current billing period.
We reserve the right to change our pricing with 30 days' written notice. Price changes will not affect your current billing period.
5. Free Tier
The free tier permits one (1) project which cannot be deleted. It includes unlimited plans per project, unlimited snags, and standard (non-branded) PDF reports. Certain features — including project deletion, creation of additional projects, branded PDF reports, and coworker management — require a paid subscription.
6. Cancellation, Cooling-Off & Refunds
You may cancel your subscription at any time. Upon cancellation, you will retain access to paid features until the end of your current billing period.
Consumer cooling-off period: If you are a consumer (individual acting outside your trade, business, or profession), you have the right to cancel within 14 days of subscribing under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013. If you have used the Service during this period, you may be charged a proportionate amount for the service provided up to the point of cancellation.
Refunds outside the cooling-off period are at our sole discretion and are not guaranteed. We do not provide refunds for partial billing periods, except where required by law.
7. Your Content & Intellectual Property
Your content: You retain full ownership of all content you upload to SnagDoc, including but not limited to photos, floor plans, project data, snag descriptions, and comments ("User Content"). By uploading User Content, you grant Nulook Projects Ltd a non-exclusive, worldwide, royalty-free licence to store, process, display, and transmit such content solely as necessary to provide the Service.
Our intellectual property: The SnagDoc application, including its design, code, branding, logos, and documentation, is the intellectual property of Nulook Projects Ltd and is protected by copyright and other intellectual property laws. You may not copy, modify, distribute, reverse-engineer, or create derivative works from any part of the Service without our prior written consent.
8. Sharing, Portals & Data Responsibility
When you share a project via client or assignee portals, the recipients can view the project data you have chosen to share. You are the data controller for any personal data you upload or process through SnagDoc, including client names, email addresses, and project details.
You are responsible for: obtaining appropriate consent from individuals whose data you upload; ensuring that your use of the sharing features complies with applicable data protection laws; and the accuracy of any data you share.
Coworkers invited to your cloud have read-only access to shared projects. Full editing access requires a separate paid subscription.
9. Acceptable Use
You agree not to:
- Use the Service for any unlawful, fraudulent, or malicious purpose
- Upload content that is offensive, defamatory, or infringes the rights of others
- Attempt to gain unauthorised access to the Service, other accounts, or our systems
- Upload viruses, malware, or any code designed to disrupt or harm the Service
- Share login credentials with third parties or allow unauthorised access to your account
- Resell, sublicense, or commercially exploit access to the Service without our prior written consent
- Use automated tools (bots, scrapers, crawlers) to access or extract data from the Service
- Interfere with or disrupt the integrity or performance of the Service
Violation of these terms may result in immediate suspension or termination of your account without refund.
10. Service Availability & Modifications
We aim to maintain high availability of the Service but do not guarantee uninterrupted or error-free access. The Service may be temporarily unavailable due to scheduled maintenance, updates, or circumstances beyond our control.
We reserve the right to modify, suspend, or discontinue any part of the Service at any time. Where we make material changes that reduce the functionality available to paid subscribers, we will provide reasonable notice and, where appropriate, a pro-rata refund for the affected period.
11. Limitation of Liability
To the maximum extent permitted by law:
- The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
- Nulook Projects Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising from your use of or inability to use the Service.
- Our total aggregate liability to you for any claims arising from or related to the Service shall not exceed the total amount you have paid to us in the twelve (12) months immediately preceding the event giving rise to the claim.
- We are not liable for any loss or damage arising from: your reliance on the Service as a substitute for professional surveys or inspections; inaccurate data entered by you or shared by other users; actions taken by third parties using shared portal links; or service interruptions caused by factors beyond our reasonable control.
Nothing in these Terms excludes or limits our liability for: death or personal injury caused by our negligence; fraud or fraudulent misrepresentation; or any other liability that cannot be excluded or limited under English law.
12. Indemnification
You agree to indemnify, defend, and hold harmless Nulook Projects Ltd, its directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with: your use of the Service; your User Content; your breach of these Terms; or your violation of any applicable law or the rights of any third party.
13. Termination
We may suspend or terminate your account immediately and without prior notice if: you materially breach these Terms; you engage in fraudulent or illegal activity; or your continued use poses a risk to the Service or other users.
You may close your account at any time by contacting support@snagdoc.com. Upon termination, your data will be retained for 30 days to allow for data export, after which it will be permanently deleted unless you request immediate deletion or we are required by law to retain it.
14. Force Majeure
We shall not be liable for any failure or delay in performing our obligations under these Terms where such failure or delay arises from circumstances beyond our reasonable control, including but not limited to: natural disasters, pandemics, acts of government, war or civil unrest, cyberattacks, telecommunications failures, power outages, or third-party service provider outages.
15. Dispute Resolution
In the event of a dispute arising from these Terms, both parties agree to first attempt to resolve the matter through good-faith negotiation. If the dispute cannot be resolved within 30 days, either party may pursue formal legal proceedings.
Nothing in this clause prevents you from making a complaint to a relevant regulatory body or from exercising your statutory rights.
16. Changes to Terms
We may update these Terms from time to time. Where we make material changes, we will notify you via email or in-app notification at least 14 days before the changes take effect. Continued use of the Service after the effective date constitutes your acceptance of the updated Terms. If you do not agree to the changes, you may cancel your subscription before the effective date.
17. Severability
If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
18. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Nulook Projects Ltd regarding your use of the Service and supersede all prior agreements, understandings, or representations.
19. Governing Law & Jurisdiction
These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
If you are a consumer habitually resident in another part of the United Kingdom, you may also bring proceedings in the courts of your country of residence.
